MAP POLICY

UNILATERAL MINIMUM ADVERTISED PRICE POLICY

("MAP POLICY") UNITED STATES


1. Unilateral Adoption, Purpose, Contact

SAVANA ("SAVANA") has unilaterally adopted this Minimum Advertised Price Policy ("MAP Policy"), effective as of February 11, 2026. This Policy is intended to protect SAVANA’s brand reputation, ensure high-quality customer service, and maintain consistent product positioning in the marketplace. All questions regarding this Policy must be directed solely to map@savana-games.com, which is the only authorized point of contact for Policy interpretation. SAVANA sales representatives and account executives are not authorized to discuss, negotiate, interpret, or modify this Policy.

2. Covered Products, Territory, MAP List, Updates

This Policy applies exclusively to the products listed as MAP Products in Exhibit A, as well as any replacement SKUs or updated references added thereto. It applies to Advertised Prices accessible to the public within the United States, or targeting consumers located in the United States. This Policy is intended to be enforced to the fullest extent permitted by applicable federal and state laws. The applicable MAP prices are set forth in Exhibit A, which is a separate document. SAVANA reserves the right to modify Exhibit A, or this Policy, at any time and at its sole discretion.

3. No Restriction on Resale Price

 This MAP Policy does not restrict, limit, or otherwise dictate the actual resale price (transaction price) of any product. Each Reseller remains strictly free to determine its own resale price, including prices below the MAP, provided that the Advertised Price (as defined below) complies with this Policy.

4. Definitions

- MAP Product: Any product listed in Exhibit A.

- Advertised Price: Any price or pricing information displayed publicly or communicated to the public, including but not limited to: internet sites, emails, social media, paid advertising, marketplaces, comparison shopping engines (CSEs), banners, print media, and public signage. This definition excludes in-store shelf tags, point-of-sale displays, and in-store signage, provided they are not distributed or visible to the public outside the physical store.

- Net Advertised Price: The Advertised Price less the value of any discount, coupon, promo code, instant rebate, loyalty points, credit, cashback, conditional gift card, or free shipping, taking into account the cumulative effect of such incentives. The Net Advertised Price shall be calculated by deducting the combined value of all such incentives that are simultaneously advertised or applied to a single purchase, regardless of the number or type of incentives used.

- MSRP: Manufacturer’s Suggested Retail Price, as provided by SAVANA.

- Marketplace: Any third-party platform where offers may be displayed (e.g., Amazon, Walmart Marketplace, eBay).

- Reseller: Any entity, including any distributor, wholesaler, retailer, or marketplace seller, that advertises, promotes, offers for sale, or sells SAVANA products (including MAP Products), directly or indirectly, including via a third party or platform.

- Special Programs: Any program, benefit, discount, allowance, marketing support, or optional commercial term granted at SAVANA’s sole discretion, directly or via a Reseller.

- SKU: Stock Keeping Unit; the unique identifier assigned to a specific version of a product.

- Closeout: A liquidation operation aimed at clearing stock, often for end-of-line, end-of-life, or surplus inventory.

- Checkout: The final stage of the online purchase journey, following the Shopping Cart, where the customer validates the order and proceeds to payment.

- Shopping Cart: The online cart feature, page, or interface where selected items are collected and displayed before Checkout.

5. The MAP Rule

A Reseller shall not advertise or promote a MAP Product at a Net Advertised Price lower than the MAP indicated in Exhibit A. A violation occurs as soon as a non-compliant Advertised Price or Net Advertised Price is accessible to the public, however briefly. A violation also exists if a Reseller knowingly supplies MAP Products to, or continues supplying MAP Products to, any seller that publicly advertises such MAP Products below MAP.

6. Promotions, Price Comparisons, Anti-Circumvention

6.1 Any public promotion, including visible coupons, displayed promo codes, automatic discounts, flash sales, or conditional gifts, is subject to the MAP Rule if it affects the Net Advertised Price.

6.2 Messages such as "percentage off," "save," strike-through pricing, or "special offer" are permitted only if the resulting Net Advertised Price remains at or above the MAP.

6.3 Comparisons with an MSRP or a strike-through price must avoid any misleading presentation of the reference price. Resellers are responsible for ensuring that any reference pricing complies with applicable law and is not misleading.

6.4 Any mechanism intended to communicate an offer below the MAP to the public, including through technical circumvention or artificial segmentation, may be treated as a violation.

7. E-Commerce Channels and Features

For clarification purposes, the communications described below are deemed to constitute an Advertised Price under Section 4 and are therefore subject to Section 5, except as provided in Section 7.2.

- 7.1 Website Features and Automation: Covered practices include, but are not limited to: the automatic display of a price prior to adding to the cart, "click for price," "call for price," "send price by email" features, automatically generated price emails, pre-formatted email responses, and any similar functionality configured by the Reseller.

- 7.2 Prices Revealed in Cart or Checkout: This MAP Policy does not apply to non public prices displayed solely in the Shopping Cart or at Checkout, provided that such prices are not used as a promotional message and are not communicated publicly within the meaning of Section 4. Any public facing statement or promotion that indicates, suggests, or invites a price below MAP, including phrases such as add to cart to see our price, exclusive cart price, or equivalent language, shall be deemed an Advertised Price under Section 4.

- 7.3 Advertising and Redirects: Covered prices include those displayed in marketing emails, newsletters, paid advertisements (e.g., Google Ads), landing pages, price comparison sites, and any digital medium controlled or purchased by the Reseller that displays a price or price advantage.

- 7.4 Marketplaces: Covered prices include those displayed on marketplaces, including in search results, product pages, sponsored listings, and equivalent formats.

8. Bundles, Packs, and Gifts with Purchase

When a MAP Product is sold in a bundle, pack, or kit with other products, it is prohibited to advertise the bundle at a price that, directly or indirectly, places the MAP Product(s) below their MAP, or that contravenes the spirit of this Policy. This includes bundles with gift cards, store credit, or equivalent benefits, where the effect is an immediate reduction in the price paid or presented.

9. Marketplaces and Indirect Resale

9.1 Unless authorized in writing by SAVANA, a Reseller shall not resell MAP Products to any seller that publicly advertises such MAP Products below MAP.

9.2 A Reseller shall not knowingly supply MAP Products to, or continue supplying MAP Products to, any partner, marketing service provider, sub-Reseller, or other third party that publicly advertises such MAP Products below MAP.

9.3 Liquidation, end-of-life, or Closeout operations for new products require SAVANA’s prior written authorization, unless otherwise indicated in Exhibit A.

10. Monitoring, Evidence, Interpretation

SAVANA may monitor Advertised Prices and use screenshots, URLs, timestamps, and other reasonable evidence to establish a violation. This Policy applies at SAVANA’s sole reasonable discretion to address practices aimed at thwarting its spirit.

11. Notification and Cure

In the event of a suspected violation, SAVANA may notify the Reseller by email. The Reseller must correct the non-compliant Advertised Price within a maximum of two (2) business days from the notification and confirm, upon request, the actions taken. Failure to respond does not prevent SAVANA from applying the remedies described in Section 12.

Provided that the Reseller can demonstrate it has taken immediate corrective action to remove the non-compliant Advertised Price from all Reseller-controlled channels, any residual non-compliant display resulting solely from third-party caching or indexing delays shall not be treated as a continuing violation.

12. Remedies, No Agreement, Modifications

12.1 Consequences of Violation. In the event of a violation of this MAP Policy, SAVANA reserves the right, unilaterally and at its sole discretion, to impose commercial consequences (Remedies). Such Remedies may include, without limitation, suspension or cancellation of pending or future shipments, revocation of discounts or incentives offered by SAVANA, exclusion from Special Programs, modification of payment terms, or termination of the right to purchase SAVANA products. Regarding indirect sales, each Reseller (including distributors and wholesalers) is responsible for using commercially reasonable measures to ensure it does not sell MAP Products to any third party that fails to comply with this Policy. If SAVANA determines that a Reseller is supplying MAP Products to an entity that is violating this MAP Policy, SAVANA may treat the supplying Reseller’s continued supply as a violation of this Policy. Consequently, SAVANA may enforce the aforementioned Remedies directly against such supplying Reseller, including by ceasing to supply it, without creating any agreement between SAVANA and such Reseller.

12.2 Unilateral Policy. This Policy is unilateral. Nothing in this document shall create an agreement between SAVANA and any Reseller.

12.3 Antitrust Disclaimer. This Policy is adopted independently and unilaterally by SAVANA and is not the product of any agreement, negotiation, or understanding, whether express or implied, with any Reseller, distributor, competitor, or other third party. SAVANA has not solicited and will not accept any assurance of compliance with this Policy from any Reseller. This Policy is intended to be implemented in a manner consistent with applicable federal and state antitrust laws. Nothing in this Policy fixes, establishes, or restricts the actual resale or transaction price at which any Reseller may sell any product.

12.4 Modifications. SAVANA may modify, suspend, or withdraw this Policy at any time, at its sole discretion. The applicable version is the one in effect on the date the advertisement was observed. SAVANA will use commercially reasonable efforts to notify Resellers of material changes to this Policy before enforcing such changes, but shall not be obligated to do so.
